THE FOUR FACTORS

What we are actually weighing during a review

  1. Reasoning density. How often a decision appears with its justification attached, rather than as a bare fact.
  2. Continuity. Whether the record runs unbroken, or fragments across migrations and abandoned systems.
  3. Outcome coverage. Whether judgements can be matched to what eventually happened, which is what makes them instructive.
  4. Breadth of situation. Whether the same method appears across genuinely different problems, or only a narrow band of them.

WHAT DOES NOT MOVE IT MUCH

Four things people assume matter, which mostly do not

Owners routinely talk themselves out of a conversation over things that carry almost no weight in the review.

Raw volume

Depth of operating history and visible reasoning move the number far more than how much material there is.

Headcount and revenue

Neither is what is being priced. A small long-running firm frequently outprices a larger newer one.

Tidiness

Messy free-text often carries more reasoning than a well-maintained structured system does.

Sector glamour

Ordinary work is the point. The material is valuable because it is what real operating looks like.

What owners ask about the range

Can you indicate a number before the review?

Only the general range. A specific figure before looking would be a guess, and guesses are what get renegotiated later.

Why is the range so wide?

Because reasoning density varies enormously between firms that look similar from the outside. That is exactly what the review establishes.

Does the number change after we sign?

No. Reviewing before pricing is what makes the figure stable.

What if we fall at the bottom of the range?

Then you will be told that, and it will have cost you a short conversation. There is no fee and no commission at any stage.
